Terms of service.

The agreement between you and Auren Labs, Inc. — in plain English. Effective 2026-05-21. Last updated 2026-05-21.

1. Acceptance of these terms

These Terms of Service ("Terms") are a binding agreement between you (and, if applicable, the organization on whose behalf you act) and Auren Labs, Inc. ("Auren Labs," "we," "us"), a Delaware corporation. By signing up, signing in, or otherwise accessing AgentsTeam (the "Service"), you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

If you are using the Service on behalf of a company, partnership, or other entity, you represent that you have authority to bind that entity, and "you" refers to both you personally and that entity.

2. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract under applicable law.
  • You must provide accurate registration information and keep it current.
  • You are responsible for safeguarding your password and for any activity under your account. Notify us promptly at security@agentsteam.app if you suspect unauthorized access.
  • One account per person. You may not share credentials, sell accounts, or transfer them without our written consent.
  • You are responsible for the actions of anyone you invite into your workspace.

3. The Service

AgentsTeam is an AI-assisted operations product that helps small business owners manage customer-facing channels — reading reviews and customer messages from connected platforms (e.g., Google Business Profile, Facebook), drafting replies in your trained voice, and dispatching replies you approve. We may add, change, or remove features at any time. Material removals will be announced as described in §17.

Beta features. Some features are labeled "beta," "preview," or "experimental." Beta features are provided as-is, may change or be removed without notice, and are not subject to any uptime or support commitments.

4. Acceptable use

You agree not to use the Service to:

  • Violate any law, regulation, court order, or the rights of any third party.
  • Post or send content that is unlawful, defamatory, harassing, threatening, hateful, sexually explicit, or that exploits minors.
  • Impersonate any person or entity, or misrepresent your affiliation with one.
  • Generate or dispatch deceptive reviews, fake testimonials, astroturf comments, or any other inauthentic engagement on a connected channel.
  • Interfere with, disrupt, or attempt to gain unauthorized access to the Service, our infrastructure, or other users' accounts (including by probing for vulnerabilities outside an authorized program, distributing malware, or running denial-of-service attacks).
  • Reverse-engineer, decompile, or scrape the Service except as expressly permitted by law.
  • Use the Service to train, fine-tune, or evaluate a competing AI product, or to extract our prompts, embeddings, or model outputs at scale.
  • Resell, sublicense, or repackage the Service without our written agreement.
  • Bypass rate limits, usage caps, or any technical safeguard we put in place.
  • Violate the policies of any connected channel (including the Google API Services User Data Policy, Meta's Platform Terms, and the terms of any other integrated provider).

We may investigate suspected violations and take action — including warning you, removing offending content, suspending features, or terminating your account — at our discretion.

5. Your content and the license you grant us

"Customer Content" means the data you put into AgentsTeam or that we fetch on your behalf from channels you connect — your business profile, voice-training inputs, uploaded files, customer reviews and messages, AI-drafted replies, your edits, and your final approved responses.

You own Customer Content. We do not claim ownership of it.

You grant Auren Labs a worldwide, non-exclusive, royalty-free license to host, copy, transmit, display, process, and analyze Customer Content solely to operate and improve the Service for you. This license terminates when you delete the data (subject to backup-rotation timing described in our Privacy Policy §8).

We do not train foundation models on your Customer Content. The only personalization that touches your content is the voice profile we maintain for your own account, and it stays inside your tenant. See Privacy Policy §4 for the binding Limited Use commitments we make on Google user data specifically.

You represent that you have the rights necessary to give us this license — including that any customer reviews or messages we fetch through your authorized channel connections were lawfully obtained by those channels and that you have the authority to respond on the business's behalf.

6. AI-generated output

  • You are the publisher. Every reply, message, or post the Service drafts is owned by, attributed to, and the responsibility of the business account that dispatches it. Auren Labs is the tool; you are the speaker.
  • Drafts are not advice. AI-generated text may contain errors, fabrications, or content that is inappropriate for a given customer. Review before you send. The Service's auto-reply mode includes hard safety floors (no replies to ≤3-star reviews, no replies to crisis-flagged reviews, daily per-location caps) — those floors are minimums, not a substitute for your judgment.
  • Similarity is possible. Modern AI models can produce outputs that resemble outputs other users see. We do not guarantee that any draft is unique to you.
  • No professional advice. The Service does not provide legal, medical, financial, tax, or other professional advice. If your customer interaction touches on a regulated topic, consult a qualified professional.

7. Connected channels and third-party services

The Service connects to channels and services operated by third parties (e.g., Google Business Profile, Facebook, Stripe, Anthropic, Supabase, Vercel). Your use of those services is governed by their own terms; we are not responsible for their availability or behavior. We will use commercially reasonable efforts to comply with each channel's developer policies, but we cannot guarantee that a channel will keep our access enabled or that its API will remain stable.

If a channel revokes access, changes its terms, or removes a feature we depend on, we may have to disable or change the corresponding AgentsTeam feature without notice. Where this materially affects a paid subscription, we will provide a pro-rata credit or refund per §9.

8. Fees, plans, and billing

  • Pricing. Current pricing is published on the marketing site and inside the Service. Pro is $19.99 per location per month, billed monthly via Stripe. Trial accounts are 14 days, up to 2 locations, no card required.
  • Auto-renewal. Paid plans renew automatically at the published rate until you cancel. You may cancel at any time in your billing settings or by writing to billing@agentsteam.app.
  • Taxes. Fees are exclusive of taxes. You are responsible for any applicable sales tax, VAT, or other tax, unless we are required by law to collect and remit it for you.
  • Late payment. If a charge fails, we may retry it, suspend paid features, and ultimately downgrade your account to a read-only state. We will email the account owner before any feature suspension.
  • Price changes. We may change prices on at least 30 days' notice. Any change applies starting at your next renewal — never retroactively.

9. Refunds and cancellation

  • Monthly plans. No partial refunds for the current billing month. Cancel at any time; service continues through the end of the paid period and does not renew.
  • Annual plans (if and when offered) are non-refundable after the first 30 days, except where required by law.
  • Service-loss credit. If a connected-channel outage or our own outage prevents you from using a core feature for more than 72 consecutive hours in a billing month, write to billing@agentsteam.app and we will issue a pro-rata service credit toward your next invoice.

10. Intellectual property

The Service, including its software, models, prompts, designs, documentation, and the AgentsTeam brand, is owned by Auren Labs and protected by U.S. and foreign intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own internal business purposes during your paid term — nothing more.

We may use anonymized, aggregated usage data (e.g., "X% of replies were sent within 2 hours of a review") to operate, secure, and improve the Service. Aggregated data is not Customer Content and contains no identifiers tied to you or your customers.

Feedback. If you send us feedback, suggestions, or feature requests, we may use them without restriction or obligation to you. We will never publicly attribute feedback to you without your permission.

11. Suspension and termination

  • By you. You can cancel at any time in your billing settings or via billing@agentsteam.app. You can delete your workspace and all Customer Content via the in-product self-serve option in /business-settings > Danger Zone, or by writing to privacy@agentsteam.app.
  • By us — for cause. We may suspend or terminate your access immediately if you breach these Terms (especially §4 Acceptable Use), if a connected channel requires it, if we believe continued service would expose us or other users to material legal or security risk, or if your account remains unpaid after notice.
  • By us — for convenience. We may terminate or non-renew any account on 30 days' notice for any reason. If we do this to a paid account, we will refund any unused prepaid time.
  • Effect of termination. Your right to use the Service ends. Customer Content is deleted on the schedule in our Privacy Policy §8. Sections that by their nature should survive termination — including IP, disclaimers, liability limits, indemnification, and dispute resolution — survive.

12. Warranty disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM A COURSE OF DEALING OR USAGE OF TRADE. AUREN LABS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE, APPROPRIATE, OR FIT FOR YOUR PURPOSE. YOUR USE OF AI-GENERATED OUTPUTS IS AT YOUR OWN RISK.

Some jurisdictions do not allow the exclusion of certain warranties. In those jurisdictions, the exclusions above apply to the maximum extent permitted by law.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AUREN LABS OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR (A) ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR (B) ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR USE, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (ii) ONE HUNDRED U.S. DOLLARS ($100).

These limits apply even if a remedy fails of its essential purpose. Some jurisdictions do not allow these limitations; in those jurisdictions, our liability is limited to the smallest amount permitted by law.

14. Indemnification

You will defend, indemnify, and hold harmless Auren Labs and its affiliates, officers, directors, employees, and agents from and against any third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your Customer Content, (b) your use of the Service in violation of these Terms or applicable law, (c) your violation of any third-party right, including any channel's terms or any customer's privacy rights, or (d) any reply or message dispatched from your account.

We will (i) promptly notify you of any claim subject to this section, (ii) give you sole control of the defense and settlement (provided you do not settle without our written consent for any settlement that admits liability or imposes obligations on us), and (iii) reasonably cooperate at your expense.

15. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Informal resolution first. Before filing a claim, you agree to write to legal@agentsteam.app and try to resolve the dispute informally for at least 30 days.

Arbitration. If informal resolution fails, any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by JAMS in San Francisco County, California, under its Streamlined Arbitration Rules. The arbitrator's decision will be final and enforceable in any court of competent jurisdiction. You and Auren Labs each waive any right to participate in a class action or jury trial. You may opt out of this arbitration agreement within 30 days of first accepting these Terms by writing to the address above with the subject line "Arbitration Opt-Out."

Exceptions. Either party may bring an action for injunctive relief in a court of competent jurisdiction to protect intellectual-property rights or stop unauthorized access to the Service.

16. Sub-processors

We use the sub-processors listed in Privacy Policy §5 (Vercel, Supabase, Anthropic, Stripe, Resend, Google Workspace SMTP, plus any channels you authorize). Material changes to that list will be reflected in the Privacy Policy and announced as described there.

17. Changes to these Terms

We may update these Terms from time to time. For material changes (for example, changing the dispute-resolution section, increasing fees, or expanding the scope of data we process), we will (i) update the "Last updated" date at the top, (ii) post an in-product banner for at least 14 days, and (iii) email account owners. Continued use after the effective date constitutes acceptance. If you do not accept the change, your remedy is to cancel before the effective date.

18. Miscellaneous

  • Entire agreement. These Terms, plus the Privacy Policy and any order form or addendum you have signed with us, are the entire agreement between you and Auren Labs regarding the Service.
  • No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
  • Severability. If a court finds any provision unenforceable, the rest stays in effect, and the provision is reformed to the minimum extent necessary.
  • Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of substantially all of our assets.
  • Independent contractors. Nothing here creates a partnership, joint venture, employment, or agency relationship.
  • No third-party beneficiaries. These Terms are between you and Auren Labs; no third party has any right to enforce them.
  • Notices. Legal notices to Auren Labs must be sent to legal@agentsteam.app. Notices to you go to the email on file.
  • Force majeure. Neither party is liable for failure to perform due to events outside its reasonable control (natural disasters, war, outages affecting a third-party provider we depend on, etc.).
  • U.S. government users. The Service is "commercial computer software" under FAR 12.212 / DFARS 227.7202; government use is subject to these Terms.
  • Export. You may not use the Service in violation of U.S. export laws, including in any country subject to a U.S. government embargo.
